The DC28 is only fitted with the basic unique Dyson root cyclone system, whereas the DC40 is fitted with a more advanced version 'Radial Root Cyclone technology'. This upgrade means the DC40 is more efficient at applying the suction power (air watts) to removing (even smaller) dirt particles from your flooring (it also enables both machines to operate on a bagless mechanism). The DC40 is also implemented with an advanced cleaner head that adjusts to the type of flooring it is cleaning (raising for soft flooring and lowering for hard flooring) to gain a more optimal clean.
So in fairness, the overall cleaning performance exhibited by both vacuums is actually quite similar (and both to an incredibly high standard).

Clearly, the DC40 vacuum is the more mobile of the two -- given that it is significantly lighter (by 6 lbs) and is fitted with the unique Dyson ball mechanism (which granted takes a bit of getting used to, but is far superior to the fixed wheel system) -- allowing you to turn on a dime instantly.

Obviously, given the fact the DC40 is a mid-sized vacuum it is more compact and easier to store away etc. this being said, it will therefore come with less extensive practical features like the DC28 offers -- and this is one of the major aspects that people unfortunately skim over when buying a new vacuum.
The overall max reach is around an extra 10 ft with the DC28 and the bin capacity is also far greater (meaning less trips to empty the dust & dirt into the main bin). So it depends how big your house is -- if you have the larger house go with the DC28, if you have an apartment or small sized house the DC40 will serve you wonderfully. Switch them round you come across obvious issues -- the DC28 takes up too much room in the apartment and offers ample cord etc. whereas the DC40 won't reach effectively all around a large house due to the minimal reach.

Accessories - Multi-floor Vs Animal
Both the DC28 & DC40 come with the combination tool (a crevice tool used for vacuuming tight gaps & areas which doubles up with a brush nozzle for powered dusting) along with a stair tool. If you get the Animal version of each (i.e DC28 Animal & DC40 Animal) you also get a specialised pet hair tool -- the DC28 gets: pet hair mini turbine tool & the DC40: gets the more advanced tangle free turbine tool (the skin colors also turn purple from yellow with the multi-floor).
